11.2 Either party may terminate this Agreement with ninety (90) days' written notice, provided that all outstanding Statements of Work have been completed or expressly waived.

11.3 In the event of a material breach, the non-breaching party may terminate after a thirty (30) day cure period following written notice of the breach.
